Training Terms and Conditions
Effective date: 6 March 2026
Organiser: Carbonaires Capital Limited of Moray House, 23-35 Great Titchfield Street, W1W 7PA ("Carbonaires", "we", "us").
Attendee / Participant: The individual attending the training ("you", "Attendee"). Where you attend on behalf of an organisation, that organisation is also bound by these Terms and Conditions and you confirm you have authority to agree on its behalf ("Client").
These Terms and Conditions govern your attendance at Carbonaires' training event(s) relating to the voluntary carbon market and associated topics (the "Training"). Each attendee at the training event will be entitled to 100% discount (promotion code) on the Roadmapr software product for a 12 month period.
1. Acceptance
By registering for, attending, or accessing any Training content (including pre-reads or post-event materials), you agree to these Terms and Conditions.
2. Training scope and nature
The Training is educational and may cover, among other things: voluntary carbon markets, compliance and governance considerations, project due diligence concepts, offtake considerations, carbon removal credit purchasing strategies, use of the Roadmapr tool, and SBTi-related reporting support.
The Training is general information and does not constitute legal, regulatory, tax, investment, accounting, or other professional advice. You should obtain independent advice before acting on information provided during the Training.
Any references to third-party frameworks (including SBTi) are for informational purposes; Carbonaires is not responsible for third-party methodologies, decisions, validation outcomes, or changes to those frameworks.
3. Registration, eligibility, and substitutions
Registration is personal to the Attendee unless explicitly stated otherwise by Carbonaires in writing.
We may refuse or cancel registrations at our discretion (including due to capacity limits, sanctions/embargo restrictions, or inappropriate conduct risks).
Substitutions may be permitted with prior written notice to Carbonaires, subject to capacity and any eligibility requirements.
4. Fees, invoicing, and taxes (if applicable)
Training fees (if any) will be as set out on the registration page, proposal, or invoice.
Unless stated otherwise, amounts are exclusive of VAT and applicable taxes.
Failure to pay applicable fees may result in cancellation of access to the Training and/or Roadmapr access.
5. Logistics and access
We will provide details for venue/virtual access, agenda, and timing separately.
You are responsible for ensuring you have suitable connectivity, equipment, and a secure environment for virtual attendance.
6. Code of conduct
You agree to behave professionally and respectfully. Harassment, discrimination, intimidation, or disruption is not permitted and will result in your removal from the event.
We may remove or exclude an Attendee from the Training (without refund, where permitted by law) if conduct is inappropriate or interferes with delivery.
7. Intellectual property and permitted use of materials
All Training content and materials (slides, workbooks, templates, demonstrations, recordings, and any Carbonaires tools shown) are owned by or licensed to Carbonaires and are protected by intellectual property laws.
Subject to payment (if applicable) and your compliance with these Terms, Carbonaires grants you a limited, non-exclusive, non-transferable right to use Training materials internally for your organisation's own learning purposes.
You must not: (a) copy, publish, distribute, sell, sublicense, or make materials available to third parties; (b) remove proprietary notices; (c) use materials to create a competing product/service or training; (d) scrape, reverse engineer, or attempt to extract underlying methodologies beyond what is disclosed.
"Carbonaires" and "Roadmapr" are trade marks/trade names of Carbonaires (or its licensors). Any goodwill arising from use accrues to Carbonaires.
8. Recording, photography, and use of likeness
Attendee recording prohibited: You must not record (audio/video/screen capture) the Training without our prior written consent.
Carbonaires recording: We may record sessions for internal quality, training, or for providing access to registrants who could not attend live. If you do not wish to appear in recordings, notify us in advance and we will try to accommodate (e.g., camera off, anonymised participation), but cannot guarantee exclusion in all formats.
We may take photographs/screenshots for event documentation and marketing, subject to applicable law. Where required, we will seek consent.
9. Confidentiality
Each party may receive confidential information during discussions (e.g., business plans, procurement strategies, pricing, supplier/project details).
Each party agrees to keep the other's non-public information confidential and use it only for internal evaluation and participation in the Training and the Roadmapr subscription.
Confidentiality does not apply to information that is public through no fault of the recipient, already known, independently developed, or required to be disclosed by law/regulator (provided notice is given where legally permitted).
10. No offer, no guarantee of outcomes
Nothing in the Training constitutes an offer to sell or purchase carbon credits, nor a commitment to secure offtakes or supply.
We do not guarantee any business, regulatory, procurement, financial, or SBTi outcomes from attending the Training or using Roadmapr.
11. Carbon market and regulatory risk acknowledgement
You acknowledge that voluntary carbon markets and related standards and regulations evolve; methodologies, registries, verification processes, and buyer expectations may change and may affect the suitability or availability of credits or strategies discussed.
12. Health & safety (in-person)
If in person, you agree to comply with venue rules and reasonable health & safety instructions. You must not attend if you are unwell where doing so could put others at risk.
13. Cancellation and changes
By Carbonaires: We may change speakers, content, format, date/time, or location if reasonably necessary. If we cancel the Training, we will (where applicable) refund paid Training fees for the cancelled session.
By Attendee: Cancellation terms (including any refunds) will be as stated at registration or on the invoice. If none are stated, then: cancellations received at least 10 business days before the start date may be refunded (excluding non-refundable processing fees, if any); cancellations after that may be non-refundable, but we may allow substitutions at our discretion.
Promotional codes for the Roadmapr licence entitlement may be revoked if an Attendee does not attend without cancellation notice.
14. Liability and disclaimer
To the maximum extent permitted by law, the Training and materials are provided "as is" and "as available" without warranties of any kind.
We are not liable for indirect or consequential losses (including loss of profit, revenue, goodwill, anticipated savings) arising from the Training.
Our total aggregate liability arising out of or in connection with the Training is limited to the amount you paid for the Training (if any) for the relevant event. If the Training was free, our liability is limited to £100.
Nothing excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.
15. Data protection and privacy
We will process personal data in accordance with our privacy notice: https://carbonaires.com/privacy-policy.
We may use your registration details to administer the Training, provide materials, create your Roadmapr user account, and send related communications (including service emails).
If you provide third-party personal data (e.g., a substitute attendee), you confirm you have authority to do so.
16. Compliance (sanctions, anti-bribery)
You agree to comply with applicable anti-bribery, anti-money laundering, sanctions, and export control laws.
We may suspend access if we reasonably believe participation would breach applicable law or policy.
17. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where consumer law requires otherwise.
18. General
If any provision is found unenforceable, the remainder remains in effect.
No waiver is effective unless in writing.
We may update these Terms for future events; the version accepted at registration applies to that Training.
These Terms form the entire agreement relating to Training attendance and the terms for the Roadmapr tool will be covered under a separate subscription licence agreement, that will be provided at the point of access to Roadmapr.
